End User License Agreement
This License Agreement governs your installation and use of the Vidima desktop application. It is between you, the Licensee, and Helvecraft, the Licensor. The license is personal, perpetual within the v1.x line, and tied to one device.
By installing or running Vidima you accept this Agreement. If you do not accept it, do not install or run the Software.
1. Grant of license
- Subject to your compliance with this Agreement and to payment of the applicable license fee, Helvecraft grants you a personal, non-exclusive, non-transferable license (except as described in §4) to install and use Vidima on the number of devices covered by the tier you purchased: Personal (CHF 149, one-time, 1 device), Pro (CHF 299, one-time, up to 3 devices) or Studio (CHF 990, one-time, up to 10 devices)
- All updates within the v1.x major version line are included at no extra cost
- A future major version (e.g. Vidima 2.0) may be offered as a separate upgrade with a loyalty discount for existing customers
2. Trial period
Vidima is free to install and free to use with full functionality for 14 days. After 14 days the Software switches to read-only mode (you can still open and print whatever you created during the trial). To unlock writing again you must purchase and activate a license.
3. Permitted use
You may:
- Install Vidima on one device that you own or control
- Use Vidima for personal or commercial invoicing purposes
- Generate, print, and distribute an unlimited number of invoices, credit notes, payment reminders and other documents created with Vidima
- Make local copies of the Software solely for backup purposes
4. License transfer between devices
- A single license is bound to one device through a deterministic device identifier (described in our Privacy Notice)
- You may freely move your license from one device to another using the built-in "Transfer license" function, or by deactivating in one device and activating in another
- The license cannot be transferred to another person; it is personal to the Customer named at purchase
5. Restrictions
You may NOT:
- Use a single license simultaneously on multiple devices — the activation system enforces this
- Share, sublicense, rent, lease, lend, or commercially redistribute the Software or your license key
- Reverse engineer, decompile, or disassemble the Software, except to the limited extent permitted by applicable mandatory Swiss law (in particular Art. 21 URG for interoperability)
- Remove, alter, or obscure the cryptographic seal that Vidima applies to PDFs — this seal is part of the product's anti-counterfeiting feature
- Use Vidima to create invoices or documents intended to defraud, mislead, or otherwise violate Swiss or applicable foreign law
6. Intellectual property
- Vidima — including its source code, binaries, design, brand, logos, and documentation — is the property of Helvecraft and is protected by Swiss and international copyright law
- Vidima includes third-party open-source components; their licenses are included with the Software
- All content you create or import in Vidima (customers, invoices, settings, signing keys) remains your property and stays on your device — see the Privacy Notice
7. Updates
- Helvecraft may release updates that fix bugs, add features, or address security issues
- Updates are delivered through the in-app updater (connecting to our update service) and, for Microsoft Store installations, through the Microsoft Store
- Each update is subject to this Agreement unless accompanied by a separate license
- You may disable automatic update checks in the Software's settings; Microsoft Store installations always update through the Store
8. Cryptographic seal
Every invoice PDF generated by Vidima carries an ECDSA P-256 cryptographic seal embedded in a verification QR code. The seal is tied to your license. Removing, altering, or forging the seal is a violation of this Agreement and may also constitute a violation of Swiss anti-counterfeiting law.
9. Warranty disclaimer
Vidima is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, to the maximum extent permitted by Swiss law. This includes (without limitation) any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
This disclaimer does not limit any warranty Helvecraft is required by mandatory Swiss law to provide.
10. Limitation of liability
Helvecraft does NOT accept liability for any direct, indirect, incidental, consequential, or special damages arising from the use of or inability to use Vidima, except where caused by Helvecraft's intentional misconduct or gross negligence. In any case, Helvecraft's total cumulative liability toward any single Customer shall not exceed the amount that Customer paid for the license.
This clause does not limit any liability Swiss mandatory law forbids us to limit (for example, liability for personal injury or fraud).
11. Termination
- This license terminates automatically if you breach any of its terms
- You may terminate this license at any time by deactivating and uninstalling the Software; termination does not entitle you to a refund unless one is granted under our Terms of Service
- Sections 6 (Intellectual property), 9 (Warranty disclaimer), 10 (Limitation of liability), and 13 (Governing law) survive termination
12. Compliance
- You agree to comply with all applicable laws when using Vidima — including Swiss VAT law, bookkeeping obligations, and any data-protection regulation applicable to the data you process with the Software
- Vidima is a tool; it does not replace professional accounting or legal advice
13. Governing law and forum
This Agreement is governed by Swiss law. For disputes, where you are a consumer protected by mandatory consumer-protection law the competent courts are those of your domicile (in particular, EU consumers retain their rights under their local consumer-protection law); in all other cases the competent forum is the seat of the company in Ticino, Switzerland.
The Italian-language version of this Agreement is the binding original; translations are provided for reader convenience.
